Data Act Addendum for Resellers

This Data Act Addendum for Resellers (“Addendum”) supplements the Reseller Agreement executed between Akeyless Security Ltd. or its subsidiaries (“Akeyless”) and the reseller identified therein (“Reseller”). This Addendum governs all Switching and Deletion Requests (as defined below) submitted by the Reseller on behalf of Customers and forms an integral part of the Reseller Agreement.

This Addendum applies solely where a Customer located in the European Union exercises its switching or deletion rights under Chapter VI of Regulation (EU) 2023/2854 of the European Parliament and of the Council on harmonized rules on fair access to and use of data (“Data Act”).

In the event of any conflict between this Addendum and any other contractual terms or documents, this Addendum will prevail to the extent of the conflict, solely with respect to the subject matter addressed in this Addendum.

Capitalized terms used but not defined in this Addendum have the meanings given to them in the Reseller Agreement or the Data Act, as applicable.

  1. In the event that a Customer elects to exercise its right to Switching (“Switching Request”) or to delete its Exportable Data (“Deletion Request”) the Reseller shall, on behalf of the Customer, submit such request to the following designated email address: [email protected]. The request shall include at least the information included in Annex A.
  2. Akeyless reserves the right to determine, in its sole discretion, whether a Switching Request or Deletion Request represents a valid request under the Data Act and that the Reseller has permission and authority to submit such request on behalf of Customer. Akeyless reserves the right to contact the Customer directly to validate the request or require further information.
  3. Upon receipt of a valid Switching Request or Deletion Request, Akeyless will support the Customer’s Switching Request or Deletion Request, by providing the Customer the reasonable assistance and information as may be required to effectuate the foregoing, in accordance with the timelines, procedures, and conditions set forth under the Data Act.
  4. The Reseller shall be solely responsible for all Customer-facing communications and notifications in connection with any Switching Request or Deletion Request.
  5. The Reseller shall promptly communicate to Akeyless any and all requests, instructions, information, or clarifications received from the Customer in connection with any Switching Request or Deletion Request, and shall, without undue delay, transmit to the Customer any corresponding information, instructions, notifications, or other communications received from Akeyless in connection with the same.
  6. The Reseller shall cooperate in good faith with Akeyless to facilitate efficient and timely handling of each such Switching Request or Deletion Request.
  7. The applicable Order Form(s) will automatically terminate: (i) in the event of a Switching Request, upon Switching being deemed successful; or (ii) in the event of a Deletion Request, upon Akeyless confirming deletion or upon the expiration of the notice period, as defined under the Data Act (each, “Order Form Termination Date”).
  8. For the avoidance of doubt, such early termination will not relieve Reseller of its obligation to pay all Fees due under the applicable Order Form(s), or entitle the Reseller to any refunds, regardless of whether the Reseller will refund or reduce payments from Customer.
  9. Akeyless shall continue to provide the Offering, and the Reseller will remain responsible for its obligations, under the applicable Order Form until the Order Form Termination Date.
  10. As between the parties, Akeyless shall have no liability, and hereby expressly disclaims any and all responsibility, for any damages, losses, costs, or expenses arising out of or relating to any Switching Request or Deletion Request submitted by Reseller on behalf of a Customer without proper authority, in each case submitted in contravention of, or otherwise inconsistent with, the terms of this Addendum.
  11. Without derogating from the obligations under the Reseller Agreement, Reseller shall defend, indemnify, and hold harmless Akeyless and its Affiliates from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to any Switching Request or Deletion Request submitted by Reseller without proper authority or otherwise in breach of this Addendum.
